Terms and Conditions

Effective Date: January 24, 2026

Welcome to Connections in Action LLC ("Connections in Action," "CIA," "Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our business intelligence network, including our website (www.connectionsinaction.com), membership services, events, The Mainframe digital platform, and all related services (collectively, the "Services").

By accessing or using our Services, registering for membership, attending our events, or otherwise engaging with Connections in Action, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By registering for membership, attending a Monthly Briefing, accessing The Mainframe, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

We reserve the right to modify these Terms at any time. We will notify Active Agents of material changes via email or through The Mainframe platform. Your continued use of our Services after such modifications constitutes your acceptance of the updated Terms.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be a business owner, professional, or leader actively engaged in business activities
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete information during registration
  • Not be prohibited from using our Services under applicable law

Connections in Action reserves the right to verify your eligibility and to refuse or terminate membership to anyone at our sole discretion.

3. Membership Types and Access

3.1 Active Agents

Active Agents are current, engaged members who pay a monthly membership fee of $97. Active Agent membership includes:

  • Full access to your home Station's Monthly Briefings
  • CIA Passport privileges to visit other Stations nationwide
  • Access to The Mainframe digital platform, including the member directory, recorded speaker sessions, and business resources
  • Invitation to After-Hours Tactical sessions (where available)
  • Digital business card functionality
  • Listing in the national member directory

3.2 Recruits (Visitors)

Recruits are first-time visitors attending a Monthly Briefing as guests. The first-time visitor fee is $47. Recruit attendance includes:

  • Access to one Monthly Briefing
  • Introduction to the CIA network and community
  • Opportunity to apply for Active Agent membership

Attendance as a Recruit does not guarantee acceptance as an Active Agent. Membership is by alignment and invitation.

3.3 Station Chiefs

Station Chiefs are local leaders responsible for hosting Monthly Briefings, cultivating community culture, and activating their territory. Station Chief roles are compensated based on recruiting Active Agents, hosting successful Monthly Briefings, and securing monthly sponsors. This is a leadership position with specific responsibilities outlined in a separate Station Chief Agreement.

3.4 Agency Directors

Agency Directors oversee regional growth and ensure brand consistency, strategic alignment, and operational excellence across multiple Stations. This is a paid leadership opportunity with responsibilities outlined in a separate Agency Director Agreement.

4. Payment Terms

4.1 Membership Fees

  • Active Agent membership is $97 per month, billed automatically on a recurring basis
  • Recruit (first-time visitor) fee is $47 per Monthly Briefing attended
  • All fees are in U.S. Dollars (USD)
  • Payment is due at the time of registration or renewal

4.2 Payment Methods

We accept payment via credit card, debit card, or other payment methods made available through our payment processors. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.3 Automatic Renewal

Active Agent memberships automatically renew on a monthly basis unless cancelled prior to the renewal date. You will be charged the then-current membership fee each month until you cancel your membership.

4.4 Price Changes

Connections in Action reserves the right to change membership fees at any time. We will provide Active Agents with at least 30 days' notice of any fee increases. Continued use of Services after a fee increase constitutes acceptance of the new fees.

4.5 No Refunds

All membership fees and event fees are non-refundable except as required by law or as explicitly stated in these Terms. If you cancel your membership mid-month, you will retain access to Services through the end of your current billing period, but no prorated refund will be issued.

5. Cancellation and Termination

5.1 Cancellation by Member

Active Agents may cancel their membership at any time by:

  • Calling (800) 385-1755
  • Managing subscription settings in The Mainframe (if available)

Cancellation will be effective at the end of your current billing period. You will not receive a refund for the current month.

5.2 Termination by Connections in Action

We reserve the right to suspend or terminate your membership and access to Services immediately, without notice or refund, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Conduct that damages the reputation or integrity of the CIA network
  • Harassment, discrimination, or disrespectful behavior toward other members, Station leadership, or staff
  • Failure to pay membership fees
  • Misrepresentation of your business, credentials, or intentions
  • Any behavior deemed detrimental to the CIA community

5.3 Effect of Termination

Upon termination or cancellation:

  • Your access to The Mainframe and member directory will be revoked
  • You will no longer be able to attend Monthly Briefings or CIA events
  • Your profile and digital business card will be removed from the network
  • You may lose access to content, connections, and resources
  • Certain provisions of these Terms will survive termination, including payment obligations, indemnification, and dispute resolution

6. User Conduct and Community Standards

As a member or participant in Connections in Action, you agree to:

6.1 Professional Conduct

  • Treat all members, Station leadership, sponsors, and staff with respect and professionalism
  • Engage authentically and contribute meaningfully to the community
  • Honor the intention of relationship-driven networking over transactional behavior
  • Represent your business and credentials honestly and accurately

6.2 Prohibited Activities

You agree NOT to:

  • Harass, threaten, intimidate, or discriminate against any person
  • Engage in spam, unsolicited marketing, or aggressive sales tactics
  • Misrepresent your identity, business, or affiliations
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of Connections in Action or others
  • Share, copy, or distribute proprietary materials from The Mainframe without permission
  • Scrape, harvest, or collect member information for unauthorized purposes
  • Use automated tools or bots to access Services
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the Services or servers
  • Upload viruses, malware, or other harmful code
  • Engage in fraudulent activity or payment disputes in bad faith

6.3 Content Standards

Any content you submit, post, or share through our Services (including profile information, business descriptions, comments, or messages) must:

  • Be accurate and truthful
  • Not violate any third-party rights
  • Not contain offensive, defamatory, or inappropriate material
  • Comply with all applicable laws

7. Intellectual Property

7.1 Connections in Action Property

All content, materials, features, and functionality of our Services, including but not limited to:

  • The Connections in Action name, logo, and branding
  • The Mainframe platform and its content
  • Website design, text, graphics, and code
  • Speaker presentations and recorded sessions
  • Business resources and training materials
  • Event formats and structures

are owned by Connections in Action LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or exploit any of our intellectual property without our express written permission.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal business networking purposes. This license does not include any right to:

  • Resell or commercially exploit the Services
  • Download or copy content (except as expressly permitted)
  • Use our trademarks or branding without permission
  • Create derivative works based on our Services

7.3 User Content

You retain ownership of any content you submit through our Services (such as your profile information, business description, or digital business card). However, by submitting content, you grant Connections in Action a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and display such content in connection with operating and promoting our Services.

7.4 Photography and Video

By attending CIA events, you acknowledge and consent to being photographed or recorded. You grant Connections in Action the right to use your likeness, image, and voice in photographs, videos, and other media for promotional and community purposes, including on our website, social media, The Mainframe, and marketing materials.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, available at www.connectionsinaction.com/privacy-policy. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy.

9. Member Directory and Networking

9.1 Member Directory

Active Agents have access to The Mainframe member directory, which contains contact information and business details of other Active Agents. By becoming an Active Agent, you consent to having your information included in the directory.

9.2 Proper Use of Member Information

Member information accessed through the directory or at events may only be used for legitimate networking and business relationship purposes within the CIA community. You may NOT:

  • Use member information for spam or unsolicited marketing
  • Sell, share, or distribute member contact information to third parties
  • Harvest or scrape member data
  • Use member information for purposes outside the CIA network

10. Events and Attendance

10.1 Monthly Briefings

Monthly Briefings are curated events. Attendance may be subject to capacity limits and RSVP requirements. Connections in Action reserves the right to deny attendance to anyone for any reason.

10.2 Event Conduct

Attendees are expected to conduct themselves professionally at all CIA events. Disruptive, disrespectful, or inappropriate behavior may result in removal from the event and termination of membership without refund.

10.3 Event Changes and Cancellations

Connections in Action reserves the right to modify event schedules, change speakers, or cancel events due to unforeseen circumstances. In the event of cancellation, we will make reasonable efforts to reschedule or provide alternative value, but no refunds will be issued for monthly membership fees.

11. Sponsorship and Partnerships

Sponsors and partners of Connections in Action are recognized at events and through our platforms. Sponsorship opportunities are governed by separate sponsorship agreements. The presence of sponsors does not constitute an endorsement by Connections in Action of the sponsor's products or services.

12. Third-Party Services and Links

Our Services may contain links to third-party websites, services, or resources (including member businesses and sponsor websites). We do not control and are not responsible for the content, privacy practices, or terms of third-party sites. Your interactions with third parties are solely between you and the third party.

13. Disclaimers and Limitations of Liability

13.1 No Warranties

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The Services will be uninterrupted, secure, or error-free
  • The quality of the Services will meet your expectations
  • Any errors or defects will be corrected
  • The Services will result in business opportunities, referrals, or revenue

13.2 No Guarantee of Results

Connections in Action is a networking platform designed to facilitate authentic business relationships. We do not guarantee that membership will result in specific business outcomes, partnerships, referrals, or financial benefits. Your success depends on your own efforts, engagement, and business acumen.

13.3 Limitation of Liability

To the fullest extent permitted by law, Connections in Action LLC, its founders, directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Personal injury or property damage
  • Emotional distress

arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims related to the Services exceed the amount you paid to Connections in Action in the twelve (12) months preceding the claim, or $500, whichever is less.

13.4 Member Interactions

Connections in Action is not responsible for the actions, conduct, or content of any member, attendee, sponsor, or third party. You are solely responsible for your interactions with other members and any business relationships or transactions that result from networking within the CIA community.

14. Indemnification

You agree to indemnify, defend, and hold harmless Connections in Action LLC, its founders Dale and Rachel Earp, EARPware LLC, and our respective officers, directors, employees, agents, Station Chiefs, Agency Directors, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms
  • Your use or misuse of the Services
  • Your violation of any rights of another person or entity
  • Your conduct at CIA events or within the network
  • Any content you submit or share
  • Your breach of any representation or warranty made herein

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

If you have a dispute with Connections in Action, you agree to first contact us at [email protected] to attempt to resolve the matter informally. We are committed to working with our members to resolve issues amicably.

15.2 Binding Arbitration

If we cannot resolve a dispute informally within 60 days, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

Arbitration will be conducted in Maricopa County, Arizona, or another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

You agree to bring any dispute in your individual capacity only, and not as a plaintiff or class member in any purported class, representative, or collective proceeding. There shall be no right or authority for any dispute to be arbitrated on a class-action basis or in a purported representative capacity on behalf of the general public or other persons similarly situated.

15.4 Exceptions

Notwithstanding the above, either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of such courts.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements explicitly incorporated by reference, constitute the entire agreement between you and Connections in Action regarding your use of the Services and supersede all prior agreements, understandings, and communications.

19. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Connections in Action may assign these Terms at any time without notice, including in connection with a merger, acquisition, or sale of assets.

21. Notices

We may provide notices to you via email to the address associated with your account, through The Mainframe platform, by posting on our website, or at Monthly Briefings. You are responsible for keeping your contact information current.

22. Force Majeure

Connections in Action shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, pandemics, or technical failures.

23. Relationship of EARPware and Connections in Action

Connections in Action LLC was founded by Dale and Rachel Earp. The infrastructure, technology platform, marketing systems, and funding for Connections in Action are provided by EARPware LLC, a company that offers AI-driven business tools and automation services. While EARPware provides operational support, Connections in Action operates as a separate entity focused on business networking and community building.
